Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On April 14, 2013, the Company accepted the resignation of Director L. Brunson White who has been appointed to a cabinet level position with the State of Alabama. Mr. White, an independent director, also served on the Audit Committee. Mr. White's resignation is effective April 14, 2013, and is withdrawn from the nominees for director as presented in the Company's Proxy Statement dated April 5, 2013. Following his departure, Mr. White will serve as Secretary of Technology for the State of Alabama.
