(b) On April 9, 2013, Nick Lazzaro, the Senior Vice President of Product Development and Information Technology & Managing Director Mobile Services of Vonage Holdings Corp. (the “Company”), informed the Company that, after four years with the Company, he has decided to resign to pursue another opportunity which allows him to reduce the amount of his travel, enabling him to spend more time with his family. Mr. Lazzaro will step down from his positions effective May 3, 2013. The Company thanks Mr. Lazzaro for his service. Mr. Lazzaro's responsibilities will be shared by the existing executive team until such time as a replacement is hired.
