| Item 1.01. | Entry into a Material Definitive Agreement |
On April 5, 2013, OMNOVA Solutions Inc. (the “Company”) entered into an agreement with JPMorgan Chase Bank, N.A., as agent, and certain financial institutions, to amend the Company’s existing $100 million Senior Secured Credit Facility. The key terms of the amendment included a two-year extension of the maturity of the facility to December 2017 and a reduction in borrowing spreads by .50% and unused line fees by .25%. All other terms and conditions of the Senior Secured Credit Facility remain substantially the same.
