ITEM 7.01     REGULATION FD DISCLOSURE
On April 10, 2013, Ashford Hospitality Trust, Inc. (the “Company”) announced that the Company, along with its joint venture partner, has entered into a series of Agreements with the City of Nashville and Davidson County to convert its leasehold interest in the 673-room Renaissance Nashville Hotel to fee simple ownership and enter into a lease for additional meeting space.

The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
