Entry Into a Material Definitive Agreement

Effective March 7, 2013, the Registrant (“American International Ventures, Inc.”) incorporated a variable-capital corporation in the city of Tijuana, Baja California, Mexico, by the name of “AIVN de Mexico”.  The Registrant is treating said incorporation of AIVN de Mexico as a subsidiary.  The primary purpose of said creation of AIVN de Mexico shall be to  conduct mining operations and other related activities.  

The above described incorporation document and translation of said incorporation is attached hereto and incorporated by reference as Exhibit 10.1
