Item 2.02 Results of Operation and Financial Condition.
On April 9, 2013, TEL Offshore Trust issued a press release (the “Press Release”) announcing that there will be no trust distribution for the first quarter of 2013 for unitholders of record on March 31, 2013. A copy of the Press Release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
Pursuant to General Instruction B.2 of Form 8-K and Securities and Exchange Commission Release No. 33-8176, except for portions of the Press Release described in Item 8.01, the information included in the Press Release attached as Exhibit 99.1 is not “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, is not subject to the liabilities of that section and is not deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, but is instead furnished for purposes of that instruction.
Item 8.01 Other Events.
The portion of the Press Release that discusses the reduction of the accumulated excess cost carryforward as of January 31, 2013 after giving credit for the gross proceeds from the royalty properties for the first quarter of 2013, including the increase in gross proceeds resulting from the audit adjustment at Eugene Island 339, are incorporated herein by reference and shall be deemed filed by the Trust.
