On April 3, 2013, Robert S. Hillas notified the Board of Directors (the “Board”) of ATMI, Inc. (the “Company”) of his intention to retire as a member of the Board at the end of his current term and not stand for reelection at the 2013 Annual Meeting of the Stockholders of the Company. Mr. Hillas’s decision to retire as a director was not due to any disagreement with the Company.
A press release announcing Mr. Hillas’s retirement is attached hereto as Exhibit 99.1.
