Item 8.01 Other Events.
Cymer, Inc. (“Cymer”) and ASML Holding N.V. (“ASML”) announced today that the Antitrust Division of the United States Department of Justice has cleared the previously announced merger between Cymer and affiliates of ASML. Completion of the merger remains subject to additional customary closing conditions and receipt of approvals under competition laws in South Korea and Japan. Cymer and ASML continue to expect the transaction to close in the first half of 2013. The joint press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
