Item 1.01. Entry into a Material Definitive Agreement.
On April 3, 2013, Baltic Trading Limited (the “Company”) entered into Amendment No. 2 to the Management Agreement with its parent company, Genco Shipping & Trading Limited (“Genco”), under which Genco serves as Manager. Among other things, the amendment streamlines the process by which the Genco assists the Company with its budgets and corporate planning and clarifies the circumstances in which the Company may terminate the Management Agreement in the event of a change of control of Genco. The foregoing description is qualified in its entirety by reference to the amendment, which is Exhibit 10.1 to this Current Report on Form 8-K and is incorporated herein by reference.
