Item 7.01 Regulation FD Disclosure.
On April 1, 2013, Bitzio, Inc. (the “Company”), Grandstand Sports & Memorabilia, Inc. (“Grandstand”), and Howard Schwartz, the Chief Executive Officer and 95% shareholder of Grandstand, terminated formal negotiations regarding the Company's proposed acquisition of all outstanding capital stock of Grandstand. The termination has not given rise to any penalties against the Company.
