Item 1.01 Entry into a Material Definitive Agreement.
On February 7, 2013, Bassline Productions, Inc. (“Bassline”) entered into an exchange agreement to purchase 100% of the outstanding shares of Matchtrade, Inc.(“Matchtrade”) in exchange for 30,000 common shares of Bassline stock. Matchtrade is now a wholly-owned subsidiary of Bassline and Bassline has acquired the business and operations of Matchtrade. The Exchange Agreement contains customary representations, warranties, and conditions.
On March 7, 2013, Bassline Productions, Inc. (“Bassline”) entered into an exchange agreement to purchase 100% of the outstanding membership interests of On The Curb, LLC (“OTC”) in exchange for 10,000 common shares of Bassline stock. OTC is now a wholly-owned subsidiary of Bassline and Bassline has acquired the business and operations of OTC. The Exchange Agreement contains customary representations, warranties, and conditions.
