Item 8.01  Other Events.

On April 1, 2013, iParty Corp. (the “Company”) issued a press release concerning the conclusion of the go-shop period under the Agreement and Plan of Merger (the “Merger Agreement”), dated March 1, 2013, by and among the Company, Party City Holdings Inc., a Delaware corporation (“Party City”) and Confetti Merger Sub, Inc., a Delaware corporation and wholly-owned subsidiary of Party City.  A copy of the press release is filed as Exhibit 99.1 hereto and incorporated by reference herein.

Additional Information and Where You Can Find It

In connection with the proposed transaction, on March 15, 2013, the Company filed a preliminary proxy statement on Schedule 14A.  In addition, the Company will file with the SEC a definitive proxy statement on Schedule 14A and relevant documents.  Investors and security holders of iParty Corp. are urged to read all relevant documents filed with the SEC, including the preliminary proxy statement, and when available, the definitive proxy statement, because they contain important information about iParty Corp. and the proposed transaction.
