Item 8.01: Other Events
On April 1, 2013, Forrester Research, Inc. (the “Company”) issued a press release announcing that it intends to commence a “modified Dutch auction” tender offer for up to an aggregate amount of $130 million of shares of its common stock, par value $0.01 per share, at a price of not less than $32 per share and not more than $36 per share in cash, without interest. A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
