Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.

(b) On March 29, 2013, Larry O’Callaghan advised the Nomination and Governance Committee he would not stand for re-election to the Board of Trustees following the June 27, 2013 expiration of his current term. Mr. O’Callaghan advised the Trust his decision was based on personal reasons. There are no known disagreements between Mr. O’Callaghan and the Trust. Mr. O’Callaghan has been a board member since January 2003 and is currently serving on the Nomination and Governance Committee and the Disclosure Committee.

We thank Mr. O’Callaghan for his years of dedicated and loyal service to the Trust.
