Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective March 25, 2013 and as previously disclosed, Robert Clemmens will retire from his position as Chief Credit Officer of NewStar Financial, Inc. (the “Company”). Daniel D. McCready will succeed Mr. Clemmens as Chief Credit Officer, and Mr. Clemmens will remain employed by the Company at least through May 2013 to facilitate the orderly transition of Mr. Clemmens’ duties to Mr. McCready.
On March 25, 2013, the Company issued a press release announcing Mr. Clemmens’ retirement from, and Mr. McCready’s appointment to, the position of Chief Credit Officer. A copy of the press release is filed with this Current Report on Form 8-K as exhibit 99.1.
