Item 8.01. Other Events.
On March 22, 2013, U.S. Concrete, Inc. issued a press release announcing the expiration and final results of its offer to exchange newly issued 9.5% Senior Secured Notes for its 9.5% Convertible Secured Notes. A copy of the related press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
