Item 8.01 Other Events
As previously disclosed on January 23, 2013, JBI, Inc. (the “Company”) reached a settlement (the “SEC Settlement”) with the Securities and Exchange Commission (the “SEC”) of the previously disclosed SEC enforcement action against the Company and certain former officers/directors regarding the restatement of the Company’s financial statements as of and for the periods ended September 30, 2009 and December 31, 2009 and related matters. The SEC Settlement was subject to approval by the United States District Court, District of Massachusetts (the “District Court”).
On March 18, 2013, the District Court issued a final judgment approving the SEC Settlement, as to both the Company and Mr. Bordynuik, the Company’s former chief executive officer, which was entered on March 20, 2013. A copy of the Final Judgment is attached hereto as Exhibit 99.1. Also attached hereto as Exhibit 99.2 is a copy of the Company’s press release announcing the final judgment approving the SEC Settlement.
