(e)           On March 15, 2013, The Macerich Company (the “Company”) and Arthur M. Coppola, Chairman and Chief Executive Officer of the Company, terminated his Management Continuity Agreement, dated December 29, 2008, between the Company and Mr. Coppola. The Management Continuity Agreement provided certain severance and other benefits to Mr. Coppola upon a change in control of the Company.
