(the Company) sold and issued 705,881 shares of its common stock (the Shares) at a price of $17.00 per share (equal to the price of shares sold to the public in the Companys initial public offering (the IPO)) in a private placement (the Private Placement) for aggregate gross proceeds of $12.0 million pursuant to a Common Stock Purchase Agreement among the Company and affiliates of Foundation Capital (each, an Investor), dated September 19, 2012.
