Explanatory Note
 
This Amendment No. 1 on Form 8-K/A (this “Amendment”) to our Current Report on Form 8-K which was filed with the Securities and Exchange Commission on March 12, 2013 (the “Original Filing”) is being made solely to correct the distribution record date, which was reported in the Original Filing as March 29, 2013, to March 28, 2013, and to correct the principal executive office address set forth on the cover page of the Original Filing.  This Amendment is limited in scope and should be read in conjunction with the Original Filing.
  
Item 8.01.  Other Events.
 
This Form 8-K/A is being filed as an amendment to the Current Report on Form 8-K filed by NTS Realty Holdings Limited Partnership (the “Company”) with the Securities and Exchange Commission on March 12, 2013. On March 12, 2013, the Company issued a press release announcing its distribution for the first quarter of 2013 for limited partners of record at the close of business on March 29, 2013.  Due to March 29, 2013 being a holiday for financial markets, the record date has been amended to March 28, 2013.

A copy of the press release issued by the Company on March 13, 2013 correcting the record date from March 29 to March 28, 2013 is attached to this report as Exhibit 99.2 and is incorporated herein by reference.
