Item 7.01 Regulation FD Disclosure
On March 11, 2013, Blucora, Inc. announced the pricing of the its offering of $175 million aggregate principal amount of Convertible Senior Notes due 2019 in a private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended. A copy of the press release announcing the pricing of the Convertible Senior Notes is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
