Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 6, 2013, William E. Roller resigned from his position as Executive Vice President, Colfax Fluid Handling and will end his service with Colfax Corporation (the "Company") effective May 15, 2013. Steven E. Simms, the Company's President and Chief Executive Officer, will assume the role of President, Colfax Fluid Handling, on an interim basis.
Mr. Roller will receive transition benefits consisting of his current salary and health insurance benefits on a pro-rata basis for the six-month period following May 15, 2013.
