Item 8.01. Other Events
On March 7, 2013, Acadia Healthcare Company, Inc. issued a press release announcing the pricing of its offering of $150 million aggregate principal amount of senior unsecured notes due 2021. The offering of the notes is being made through a private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Act”) and to certain non-U.S. persons in transactions outside the United States in reliance on Regulation S under the Act. A copy of the press release is attached as Exhibit 99 to this Form 8-K.
