Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
As previously announced by UGI Corporation (the "Company"), Lon R. Greenberg, Chief Executive Officer of the Company, will retire effective April 1, 2013. Upon his retirement, Mr. Greenberg will serve as non-executive Chairman of the Company's Board of Directors. John L. Walsh, the Company's current President and Chief Operating Officer, will be named President and Chief Executive Officer of the Company, effective April 1, 2013.
A copy of the Company's press release dated March 5, 2013 is included as Exhibit 99.1 to this Report.
