On February 28, 2013, John B. Kilroy, Sr. notified the board of directors of Kilroy Realty Corporation (the “Company”) that he resigned as the Company's chairman and as a director, effective February 28, 2013. The Company's board of directors elected John Kilroy, Jr. to serve as the Company's new chairman, effective February 28, 2013.

On February 28, 2013, the Company issued a press release. A copy of the press release is furnished as Exhibit 99.1 to this report.
