(b) Departure of Directors or Certain Officers
On February 27, 2013, Dr. Sharon Brown-Hruska informed the board of directors (the “Board”) of MarketAxess Holdings Inc. (the “Company”) that she does not intend to stand for re-election to the Board when her current term ends at the Company’s 2013 annual meeting of stockholders.
Dr. Brown-Hruska has been a director since April 2010. Dr. Brown-Hruska’s decision not to stand for re-election to the Board does not involve any disagreement with the Company.
