Item 8.01. Other Events.

On February 28, 2013, American Realty Capital Properties, Inc.’s (the “Company”) board of directors approved a stock repurchase program authorizing the Company to repurchase up to $250.0 million of its common stock, par value $0.01 per share, from time to time.

Shares of the Company’s common stock may be repurchased in open market or block trades, as conditions permit, in accordance with applicable law and regulation. The Company may fund its share repurchases with available cash, any other financing source and any combination thereof. Shares repurchased under the share repurchase program will be deemed authorized but unissued shares.
