Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

The Company previously reported that, on February 4, 2013, Dr. Thomas Truman, the Company’s Vice President of Worldwide Sales, resigned his employment with the Company.

On February 22, 2013, in connection with his departure, Dr. Truman signed a separation agreement containing a customary release of claims against the Company and providing that Dr. Truman shall receive a lump sum separation payment of $120,000. The Company shall file the separation agreement with its Annual Report on Form 10-K for the fiscal quarter and year ending December 31, 2012.
