Item 8.01.
Other Events.
In connection with the preparation of its financial statements for the year ended December 31, 2012, Molycorp, Inc. (the “Company”) has determined that it will incur a non-cash goodwill impairment charge, substantially all of which will relate to its acquisition of Neo Material Technologies Inc. (the “Molycorp Canada acquisition”). The Company has not yet determined the actual amount of the impairment charge, but it is expected that the charge will be a substantial portion of the total amount of goodwill the Company had recorded in respect of the Molycorp Canada acquisition. The actual amount of the impairment charge will be determined by the Company as it finalizes its financial statements for the year ended December 31, 2012.
