Item 1.01 — Entry into a Material Definitive Agreement 

 

On February 25, 2013, CER Energy Recovery (Yangzhou) Co., Ltd. (“CER Yangzhou”), a wholly-owned subsidiary of China Energy Recovery, Inc. (“CER”), entered into a two-year comprehensive credit facility with Yizheng JiaHe Rural Micro-Finance Co., LTD. The facility is for RMB 10,000,000 (approximately $1,590,000) and can be used for working capital or similar purposes. This loan bears an interest rate of 2% per month. This facility is guaranteed by CER Energy Recovery (Shanghai) Co., Ltd., which is a wholly-owned subsidiary of CER, and also guaranteed by Mr. Qinghuan Wu, the Chief Executive Officer of CER.
