Item 7.01. Regulation FD Disclosure.

On February 27, 2013, the majority owner of Apco Oil and Gas International, Inc. (“Apco” or the “Company”), WPX Energy, Inc. (“WPX”), issued a press release disclosing WPX’s reserves. The press release disclosed domestic as well as international reserves. Apco’s reserves comprise the majority of WPX’s international reserves. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference into this Item 7.01.

Also on February 27, 2013, WPX issued a press release announcing WPX’s guidance for 2013, including information regarding forecasted capital investments for its international business. A copy of the press release is attached hereto as Exhibit 99.2 and is incorporated by reference into this Item 7.01.
