Nackey E. Scagliotti, a director of the Company since 1999 and currently chairperson of the board of directors of the Company, informed the board of directors on February 21, 2013, that she plans to retire from service to the Company and will not stand for re-election to the board at the Company's Annual Meeting of Shareholders on May 1, 2013. A copy of the press release announcing the foregoing as well as related board matters is filed as an exhibit to this Form 8-K.
