Item 2.02 Results of Operations and Financial Condition.
On February 22, 2013 As Seen On TV, Inc. issued a press release announcing its financial results for the third quarter and nine month period ended December 31, 2012. A copy of this press release is included as Exhibit 99.1 to this report.
