Item 7.01 Regulation FD Disclosure.
On February 18, 2013, Lightstone Value Plus Real Estate Investment Trust, Inc. (the “Company”) sent a notice to investors regarding a change to the purchase price under the Company’s distribution reinvestment program (“DRIP”) and a change to the purchase price under the Company’s share repurchase program in the case of the death of the stockholder. Stockholders in Arizona and Oregon were also notified that they were eligible once again to participate in the Company’s DRIP. A copy of the notice is attached hereto as Exhibit 99.1 and incorporated herein by reference.
In accordance with General Instruction B.2 of Form 8-K, the information included or incorporated by reference in this Item 7.01 shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section, and shall not be deemed to be incorporated by reference into any filing of the Company under the Exchange Act or the Securities Act of 1933, as amended, except as shall be expressly set forth by specific reference in such a filing.
