On February 12, 2013, Zipcar, Inc. (“Zipcar”) issued a press release announcing that the waiting period under the U.S. Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, expired on February 11, 2013 in connection with Avis Budget Group, Inc.’s previously announced agreement to acquire Zipcar. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
