Item 1.01: Entry into a Material Definitive Agreement
Effective January 31, 2013, Yinfu Gold Corporation (the “Company”), through its wholly owned subsidiary, Element Resources International Limited, has entered into a definitive agreement to acquire a 65% ownership of African Resources (Zambia) Limited, for US$2,000,000. African Resources (Zambia) Limited owns a mining and processing permit and concession license for the mine. The company is based in Lusaka, Zambia. The mine is located 240 kilometers from Lusaka.
