Explanatory Note
The purpose of this Current Report on Form 8-K/A is to amend the Current Report on Form 8-K/A of Kinder Morgan Energy Partners, L.P. (the Partnership), filed with the Securities and Exchange Commission (the SEC) on February 4, 2013 (the Amended Filing), to correct a typographical error that was contained in the Explanatory Note of the Amended Filing. The Amended Filing amended the Current Report on Form 8-K of the Partnership filed earlier with the SEC on February 4, 2013 (the Original Filing). The Amended Filing incorrectly noted that the date of the Original Filing was January 4, 2013; the Original Filing was made on February 4, 2013. Except as specifically amended herein, the Original Filing and the Amended Filing remain unchanged.
IMPORTANT ADDITIONAL INFORMATION WILL BE FILED WITH THE SEC
The Partnership plans to file with the SEC a Registration Statement on Form S-4 in connection with the transaction. The Partnership and Copano Energy, L.L.C. (Copano) plan to file with the SEC and Copano plans to mail to its unitholders a Proxy Statement/Prospectus in connection with the transaction. The Registration Statement and the Proxy Statement/Prospectus will contain important information about the Partnership, Copano, the transaction and related matters.
