Item 2.02 Results of Operation and Financial Condition.
On February 1, 2013, Provident Financial Services, Inc. (the “Company”) issued a press release reporting its financial results for the quarter and year ended December 31, 2012. A copy of the press release is attached as Exhibit 99.1 to this report and is being furnished to the SEC and shall not be deemed “filed” for any purpose.
Item 7.01 Regulation FD Disclosure.
On February 1, 2013, the Company announced that its Board of Directors declared a quarterly cash dividend of $0.13 per common share, payable on February 28, 2013 to stockholders of record on February 15, 2013.
This announcement was included as part of the press release announcing financial results for the quarter and year ended December 31, 2012 issued by the Company on February 1, 2013. A copy of the press release is attached as Exhibit 99.1 to this report and is being furnished to the SEC and shall not be deemed “filed” for any purpose.
