ITEM 1.01. ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
On December 1, 2012, Consolidation Services, Inc. (the “Company”) entered into a Consulting Agreement with Carl Casareto (“Casareto”) to serve as the Company’s Chief Operations Officer. Consultant is proving to be a valuable addition to the management of the Company and the Company wishes to grant Consultant additional incentive compensation in the form of two hundred thousand (200,000) shares of the Company’s common stock pursuant to the Amendment to Consulting Agreement by and between the Company and Casareto.
