On January 16, 2013, Boston Private Financial Holdings, Inc. (the “Company”) issued a press release announcing its financial results for the fourth quarter and year ended December 31, 2012. The text of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.

On January 16, 2013, the Company announced that its Board of Directors approved a share repurchase program of up to 5% of the Company's outstanding shares. Under the program, shares may be repurchased from time to time in the open market for a two-year period.
