Item 7.01. Regulation FD Disclosure

On January 14, 2013, Lear Corporation (“Lear”) issued a press release announcing the launch of certain financing actions, including the launch of an offering of $500 million in senior unsecured notes due 2023 (the “Notes”) and the proposed amendment and restatement of its revolving credit facility to, among other things, increase the aggregate commitments thereunder to $1 billion. Lear also announced an increase in its existing share repurchase program authorization and its intention to redeem $70 million of its existing senior notes in 2013. The press release also affirmed Lear’s earnings outlook for 2012, provided guidance for 2013 and updated Lear’s sales backlog. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.

The Notes will be offered only to “qualified institutional buyers” in reliance on the exemption from registration pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”) and to persons outside of the United States in compliance with Regulation S under the Securities Act. The Notes have not been registered under the Securities Act, or the securities laws of any state or other jurisdiction, and may not be offered or sold in the United States without registration or an applicable exemption from the registration requirements of the Securities Act and applicable state securities or blue sky laws and foreign securities laws.
