On January 7, 2013, The ADT Corporation (the “Company”) issued a press release announcing the pricing of an offering of $700 million principal amount of the Company’s 4.125% Senior Notes due 2023. A copy of the press release announcing the pricing of the offering is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
