As we previously disclosed, Frederick D. Kuester, currently Executive Vice President of Wisconsin Energy Corporation, Wisconsin Electric Power Company and Wisconsin Gas LLC, is retiring effective January 4, 2013. In connection with his retirement and in light of his many contributions to our success, on December 27, 2012, the Compensation Committee of Wisconsin Energy's Board of Directors accelerated the vesting of the remaining balance of restricted stock awarded to Mr. Kuester on October 13, 2003, consisting of approximately 5,590 shares, effective as of January 2, 2013.
