Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

Effective December 26, 2012, Michael Darkoch has ceased to be the Executive Vice President and Chief Marketing Officer of CNS Response, Inc. (the “Company”), as the Company has shifted its resources to focus on a clinical trial of its PEER Interactive System at Walter Reed National Military Medical Center. Mr. Darkoch will continue to be an advisor and consultant to the Company.

 

Also effective December 26, 2012, Daniel Hoffman MD., Chief Medical Officer, ceased to be the Chief Medical Officer of the Company due to the cessation of the Company’s clinical services operation at the Neuro-Therapy Clinic in Denver. Dr. Hoffman will continue as the Company’s part-time medical director.
