Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
In connection with a planned restructuring of the Board of Directors (the “Board”) of Prosper Marketplace, Inc., David Silverman and Larry Cheng have resigned as members of the Board. Mr. Silverman's resignation was effective as of December 20, 2012 and Mr. Cheng's resignation was effective as of December 22, 2012. Mr. Silverman was Chairman of the Audit Committee of the Board. Mr. Cheng was a member of the Risk Committee of the Board.
