Item 1.02. Termination of a Material Definitive Agreement.
On December 19, 2012, Vanguard Natural Resources, LLC (the “Company”), announced a third party chose to exercise their preferential rights to purchase certain non-operated oil and natural gas assets in Montana. The Company had previously announced entering into a definitive agreement on November 9, 2012, with an undisclosed seller to acquire these Montana assets for a purchase price of $131.0 million.
Item 7.01 Regulation FD Disclosure
On December 19, 2012, the Company issued a press release announcing a third party’s election to exercise its preferential right to purchase certain non-operated oil and natural gas assets in Montana, a copy of which is filed as Exhibit 99.1 hereto and incorporated herein by reference.
