Item 7.01.  Regulation FD Disclosure.

On December 21, 2012, The Shaw Group Inc. (“Shaw”) issued a press release announcing the results of a special meeting at which Shaw shareholders voted to approve the Transaction Agreement, dated as of July 30, 2012, between Shaw, Chicago Bridge & Iron Company N.V. (“CB&I”) and Crystal Acquisition Subsidiary Inc., a wholly owned subsidiary of CB&I (“Acquisition Sub”), pursuant to which Acquisition Sub will merge with and into Shaw.  A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
