Item 5.02.                                        Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On December 14, 2012, Mr. Bruce Clarke resigned his position as Senior Vice President and Chief Financial Officer of Royal Hawaiian Resources, Inc. (“Royal”), the managing general partner of the Registrant.  Mr. Wayne W. Roumagoux, who served as Chief Financial Officer of Royal from August 2001 until August 2012, has agreed to serve as Chief Financial Officer on a temporary basis until a replacement Chief Financial Officer is hired.  Mr. Roumagoux will be paid $800 per day actually worked.
