ITEM 8.01 OTHER EVENTS.
On December 19, 2012, the Registrant issued a press release announcing that it formed a subsidiary in Canada to provide services for ships loading commodities at Canadian ports and delivering them to China. A copy of the press release is attached hereto as Exhibit 99.1.
