Item 8.01 Other Events.
On December 19, 2012, Advance Auto Parts, Inc., a Delaware corporation (the “Company”), issued a press releasing announcing that it has entered into a definitive purchase agreement to acquire B.W.P. Distributors Inc., a Delaware corporation (“BWP”), in an all-cash transaction. BWP is a privately held company that supplies automotive aftermarket parts and products principally to commercial customers in the Northeast through its company-owned and independently owned locations under the CARQUEST® brand.

The press release is attached as Exhibit 99.1 and incorporated by reference herein. This release also includes forward looking statements related to the Company's 2012 fiscal year.
